MANAGEMENT AND ADVISORY BOARD

The following section sets forth certain information with respect to the Directors, executive officers, and key employees of the Company as of January 1, 2006.

CHAIRMAN OF THE BOARD, John Vasquez
As Chairman of the Board, Mr. Vasquez drives the strategic direction of the Company, while also managing high level deployment of the business module including but not limited to marketing, sales and features development of approval finder software. Prior to Mr. Vasquez founding Newport Capital Asset Management Group, G.P. he spent 14 years as merchant banker acting as a principal investor in micro capital companies with valuations of $500,000,000 or smaller. He has participated in or acted as the lead investor in more then twenty companies going public. Currently he is Managing Director and general partner of Newport Capital Special Situations Fund, L.P.

BOARD MEMBER, PAUL BRAHE
As a Board Member Mr. Brahe is responsible for all areas of technology evaluation and implementation, while assisting at a high level to the Chief Technology Officer. Prior to Mr. Brahe CO-founding Newport Capital Asset Management Group, G.P. he spent more than 18 years of experience in the technology and financial sectors. He was The Director of Research for Preferred Capital Markets, a full service institutional, retail and online brokerage firm. He also was a Partner with Apodaca-Johnston Investment Group, where he helped managed mutual funds as well as several hedge funds. During his time there, he helped the firm grow from $2 million to $800 million in assets. His experience also includes software programming, systems analysis, security and systems design. Paul serves on the Board of Directors and Audit Committee of Komag Inc. (Nasdaq: KOMG), a publicly traded independent supplier of disk drive media. Currently He is the portfolio Manager and also general partner of Newport Capital Special Situations Fund, L.P.

BOARD MEMBER, PAUL GIORDANO
As a board member Mr. Giordano is responsible for oversight in all areas of the business finance arena, his experience in the Capital Markets and professional money management are among many of his accomplishments. Prior to Mr. Giordano joining the board he was the Chief Investment Officer for Creedon Keller & Partners where he had full investment authority of $1.5 billion Hedge Fund and managed $5 billion in investments. Mr. Giordano has successfully restructured many companies among them Redback Networks, Inc., Komag, Inc., Phycor Inc., Interliant Inc., Cellstar Inc., to name a few. He has more then 18 years of experience in the Financial sector where he has held a position of Senior Vice President for such firms as Merrill Lynch & Fimat USA. Subsidiary of Societe Generale. He is the founder of Tamalpais Asset Management, LLC. hedge fund, where he currently acts as the CEO/CIO for the Fund.

BOARD MEMBER, THOMAS GLASGOW
As a board member Mr. Glasgow is responsible for creative development and system integration, he was an original member of the Board of Directors for LoanGenie.com, Inc. His professional experience in fortune 500 Companies lends itself to both start-ups and Enterprise Companies. Prior to Mr. Glasgow joining the board he was one of the first employees hired for FedEx, as Vice President of Operation with responsibility for personnel, aircraft, operations, security, sales and facilities. He was also the project director for the superhub which remains the world most automated sorting facility. HE serves on the boards of two publicly trades companies and remains very active with corporate governance and related activities. Mr. Glasgow is a co-founder President, COO and Director for Festival Airlines. Festival Airlines is a vacation only airline whose primary focus is to serve vacation and seasonal destinations markets.

BOARD MEMBER, MICHAEL KURDZIEL
As a board member Mr. Kurdziel is responsible for Lender and financing introduction and management. Mr. Kurdziel brings to the team nationwide knowledge of solutions for the automotive retail industry. Prior to joining LoanGenie, Mr. Kurdziel worked as Director of Corporate Development and Strategy at Activision, Inc, where he oversaw the acquisition of and investment in multiple companies as well as drove long term strategic planning efforts. Prior to joining Activision, Mr. Kurdziel was a senior executive and founding member of DealerTrack (Nasdaq: TRAK), a $1.2 billion market cap concern that is currently the leading provider of software and data solutions for the automotive retail industry nationwide. Previously, Mr. Kurdziel spent several years as a strategic consultant with Scient Consulting working with numerous Fortune 100 financial services companies including J.P. Morgan Chase, Merrill Lynch and GE Capital. Mr. Kurdziel began his career working for the Strategic Planning and Corporate Development practices of Morgan Stanley and Merrill Lynch in New York, where he executed numerous M&A transactions totaling in excess of $3 billion in value in the financial services, media, technology, and service sectors.

MEMBER & ADVISORY BOARD , MARK KORELL
Mr. Korell is responsible for establishing lender relationships for the Company and serving as the Company's Liaison with Universal Savings Bank, FA as the beta lender for LoanGenie products and services. Prior to joining LoanGenie, Mr. Korell was Chief Marketing Officer for Root Markets Inc., which developed proprietary technology to power an innovative online national marketplace for consumers seeking home financing.

Mr. Korell has a broad and distinguished career in financial services, including three years as Chairman and an owner of Stonecreek Funding Corporation. Prior thereto, he started a new business as Chairman of Mortgage Banking for Guaranty Bank & Trust. He has also been in investment and management consulting, with clients such as T. Rowe Price and The Renaissance Group, a venture capital firm, and was CEO of an emerging technology startup. He has been President, Lender and Investor Services, of Wells Fargo Home Mortgage, Inc., then the nation's largest mortgage lender and loan servicer, with over $50 billion in annual lending volume. He oversaw capital markets, servicing and non-retail lending; as well as managed the negotiations, purchase and successful operational integration of Prudential Home Mortgage, a $3 billion acquisition.

Mr. Korell has also served as President/CEO of GMAC Mortgage Group, a leading nationwide residential, commercial and multi family real estate finance firm with over 3,000 employees. He was President/CEO of Residential Funding Corporation, a Salomon Brothers company focused on asset securitization and trading, mortgage investments and institutional lending, with assets exceeding $1 billion and annual securities issuance of $13 billion during his tenure. He negotiated and oversaw two sales of the firm, and over 10 years, successfully built RFC into the nation's premier mortgage warehouse lender and the largest private issuer and master servicer of mortgage backed securities. In addition, he has been Division President/CEO - Mortgage Banking and EVP - Capital Markets with US Bank, and Division President - Mortgage Securities with MGIC Investment Corporation; as well as having served in management posts for five years in state (MN Housing Finance Agency) and federal (Federal Home Loan Bank Board) government agencies involved in affordable housing finance and bank regulation.

MEMBER & ADVISORY BOARD, ROY TASHI
As an advisory member Mr. Tashi is responsible for review and advisory services for all initiatives that the board undertakes. Mr. Tashi brings a global purview for validation of the LoanGenie application software. Prior to joining the board Mr. Tashi was one of the single largest investors in LoanGenie.com, Inc's original business plan. He has been a senior advisor or non-Executive director of several private and public companies as well as assisting communal (not-for-profit) organizations in the area of fundraising and long term business planning. He is an Executive Chairman of Global Asset Strategies Pty Ltd. and makes his residence in Australia.

PRESIDENT, GARY HOYER
Mr. Hoyer is primarily responsible for co-managing the Company's strategic direction and the execution of its business plan. He will also assist in sales, identifying and negotiating with acquisition targets and capital raising. Mr. Hoyer has more than 20+ years of experience in commercial lending, structured finance, credit enhancement and securitization of cash flow assets originated in the consumer, small business and mortgage finance markets. Mr. Hoyer has significant experience with the structure of mortgage- and asset-backed securities, management of gestation repurchase facilities and mortgage warehouse lending. He has additional experience in the development and deployment of web-based software applications for the commercial and mortgage finance markets. Prior to joining LoanGenie Mr. Hoyer was the President and CEO of Sterling Eagle Mortgage Investment Company, LLC a privately held firm active in mortgage fulfillment, warehouse lending, conduit sales and technology development for front and back-office systems. Prior thereto, Mr. Hoyer was the President and CEO of The Princeton Capital Companies, a leading asset-based lender active in the small commercial, receivables and mortgage finance sectors. Previously Mr. Hoyer was a Managing Director of Ahern & Partners, a turn-around management and workout firm and a Managing Director of Asian Oceanic Capital, a Hong-Kong based merchant bank. Mr. Hoyer managed the repo desk and structured mortgage-backed and asset-backed securities for Prudential Capital Funding (Prudential Securities) and served as a consultant assisting in the structure of asset-backed securities for several Wall Street firms. Mr. Hoyer was a Senior Consultant, Management Advisory Services, for Deloitte Haskins & Sells (Deloitte & Touche) for the firm's financial services clients. He began his service with Deloitte in New York in accounting and auditing.

COO & General Council, G. Mark Loreto

Most recently, Mr. Loreto was a Senior Vice President and General Counsel for Proficio Mortgage Ventures, LLC, a mortgage subsidiary of Proficio Bank. Prior thereto, Mr. Loreto was the Chairman of the Board and Chief Operating Officer for Sterling Eagle Mortgage Investment Company, LLC. Mr. Loreto co-founded Sterling Eagle in June 2002 and WarehouseOne in August 1998, and served as a principal of both companies. He is responsible for funding relationships, negotiating and structuring joint ventures, various aspects of operations and serves as secretary and general counsel. Prior to such service, in March 1993 Mr. Loreto co-founded and served as a principal of the PrinCap Companies. Mr. Loreto was a principal and director at PrinCap and was responsible for documenting and monitoring client and funding source relationships, credit analysis and review of clients, financial analysis of funding source proposals, personnel, and cash management. He also served as corporate secretary.

Previously, Mr. Loreto was the executive vice president of ORIX Realty Corporation, a commercial real estate subsidiary of Japan's largest finance company. Before joining ORIX, Mr. Loreto was also a senior associate of Morgan Stanley Realty Incorporated, practiced corporate and real estate law with the law firms of Davis, Polk & Wardwell and Reid and Priest, respectively, and was a commercial bank lending officer of Morgan Guaranty Trust Company. He received a BA degree in Chemistry from The Johns Hopkins University, an MBA degree in Finance from the Wharton Graduate Division of the University of Pennsylvania and a Juris Doctor degree from New York University Law School. He is admitted to the bars of the States of New York and New Jersey, to various U.S. District Courts and to the Supreme Court of the United States.

CHIEF TECHNOLOGY OFFICER, JIM CONNOLLY
Mr. Connolly is responsible for all areas of technology as well as all project coordination, workflow and scope development, personnel management and oversight. Mr. Connolly has more then 15 years experience in the Information Technology field ranging from start up to fortune 500 companies, where he has held a position of Director or senior management consultant with such firms as CNA Trust, CH2m Hill, Inc., Forma Systems, Inc. and Movie Gallery Digital, Inc.

Prior to joining the management team he was the Vice President, eBusiness at Union Bank. Union Bank is among the 35 largest banks in the United States with revenue of $1.77 billion and 10,000 employees. He Managed the Internet based products, projects, architecture and application development for all Asset Management Internet products.

SENIOR VICE PRESIDENT WESTERN DIVISION, MARK GAETA
Mark Gaeta is currently Senior Vice President in charge of the Western Region; his primary responsibility is management of the day to day operations and the staff of the west coast offices for the Company. Most recently, Mr. Gaeta was placed as an interim President to oversee the right sizing of an Internet Social Networking Company. Prior thereto Mr. Gaeta was a senior level management or Limited Partner in a diverse field of the financial services, most recently a Senior Account Executive for Fremont Investment & Loan. He has also been a successful equities trader with multiple Wall Street firms. Additionally, he is a trained and experienced Senior Auditor who worked for Ernst & Young in their New York office.

Mr. Gaeta earned a B.A. degree with High Honors from the State University Of NY at Albany he has held several licenses, such as the 7, 24, 55, and 63, with Security Exchange Commission.

SENIOR VICE PRESIDENT BUSINESS DEVELOPMENT, ATUL PATEL
Mr. Patel is primary responsible for the Company's business development. Mr. Patel brings more than 7 years of experience in financial services marketing, sales, and analytics automation to the Company and currently provides consulting services to various lending, financial services and lead generation companies. Most recently, Mr. Patel co-founded LeadROI, a company providing lead management and sales automation software for the mortgage vertical.
LeadROI served over 300 brokers and lenders and integrated over 150 lead providers and 20 vendors in such areas as marketing, credit scoring and telemarketing. LeadROI was later acquired by Root Markets, a lead exchange company founded by Lewis Ranieri. Prior to LeadROI, Mr. Patel held various roles in analytics at Countrywide Financial Corporation, where he lead the development of an analytical framework and knowledge management system used across the organization. Prior to entering the lending and technology markets, Mr. Patel identified enterprise solutions for Fortune 100 companies at Ernst & Young. Mr. Patel received his Bachelor of Arts in Economics with a specialization in Computing from the University of California at Los Angeles.

SENIOR VICE PRESIDENT AUTO FINANCE SALES, KEIA NOUSE
Mr. Nouse is responsible for the Company's Auto Finance sales. He has extensive experience in national and international business development, management, and developing sales teams with proven tract records for web based software services in the areas of mortgage, auto and senior lending facilities. Prior to joining LoanGenie he was the Head of Business Development for Mila, Inc. a $3 billion revenue mortgage wholesale lending company based in Seattle. He has led teams for institutional accounts such as Steelesoft's 3S and iAutomortgage. Mr. Nouse was responsible for the integration and national sales at Microsoft Networks Carpoint and DriveOff.com which was purchased by Microsoft. He has founded grown and sold companies with more than $100 million in revenues and has a successful track record in managing the relations with the top 100 national automotive dealer groups.
